1. Acceptance of Terms

By accessing or using InstructPoint, a service provided by EMskillz, LLC ("Services"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use our Services.

2. Description of Services

InstructPoint provides:

• A platform connecting students with certified instructors for medical education and training
• Class booking, scheduling, and payment processing services
• Communication tools for instructors and students
• Certification record management
• SMS notifications and reminders (with consent)

3. User Accounts

• You must provide accurate, complete information when creating an account
• You are responsible for maintaining the security of your account credentials
• You must notify us immediately of any unauthorized use of your account
• You must be at least 18 years old to create an account

4. SMS/Text Messaging Terms

By providing your mobile phone number and opting in to SMS:

• You consent to receive automated text messages from InstructPoint related to your bookings, class reminders, account security codes, and service updates
• You acknowledge that message frequency varies and standard message and data rates may apply
• You may opt-out at any time by replying STOP to any message
• You can text HELP for assistance
• Your consent is not required as a condition of purchasing any goods or services
• Your opt-in is specific to InstructPoint and will not be sold or transferred to third parties for their marketing purposes

Supported carriers: All major US carriers. Messages may not be delivered on all carriers. We are not liable for delayed or undelivered messages.

5. Booking and Payment

• All bookings are subject to instructor availability and acceptance
• Payment is processed securely through Stripe
• Prices are displayed in US Dollars and include applicable taxes
• You agree to pay all fees associated with your bookings
• Cancellation and refund policies are set by individual instructors and will be displayed before booking
• Platform fees are non-refundable

6. Instructor Responsibilities

Instructors must:

• Maintain current, valid certifications and credentials
• Provide accurate information about their qualifications and courses
• Honor all confirmed bookings
• Comply with accrediting organization requirements
• Maintain appropriate insurance and licenses
• Treat all students professionally and respectfully

7. Student Responsibilities

Students must:

• Attend classes punctually and prepared
• Complete required pre-course work
• Treat instructors and other students respectfully
• Follow all safety guidelines and instructions
• Provide accurate information for certification records

8. Intellectual Property

All content on the InstructPoint platform, including text, graphics, logos, and software, is owned by InstructPoint, LLC or its licensors and is protected by copyright, trademark, and other intellectual property laws. You may not reproduce, distribute, or create derivative works without our express written permission.

9. Prohibited Conduct

You may not:

• Use the platform for any illegal purpose
• Impersonate another person or entity
• Harass, threaten, or harm others
• Upload malicious code or viruses
• Attempt to gain unauthorized access to our systems
• Scrape or harvest data from the platform
• Use the platform to spam or send unsolicited communications

10. Disclaimers

THE SERVICES ARE PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. WE DO NOT GUARANTEE:

• The quality or accuracy of instructor-provided training
• That you will pass certification exams
• Uninterrupted or error-free service
• That the platform will meet your specific requirements

InstructPoint is a platform connecting students and instructors. We are not responsible for the conduct or performance of instructors or students.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, EMSKILLZ, LLC (PROVIDER OF INSTRUCTPOINT SERVICES) SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES.

OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO LIABILITY.

12. Indemnification

You agree to indemnify and hold harmless EMskillz, LLC (provider of InstructPoint services), its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses arising from your use of the Services or violation of these Terms.

13. Dispute Resolution

Any disputes arising from these Terms or your use of the Services shall be resolved through:

• Good faith negotiation
• If unresolved, binding arbitration under the American Arbitration Association rules
• Arbitration shall take place in Montgomery County, Tennessee
• You waive your right to participate in class action lawsuits

14. Termination

We may suspend or terminate your account at any time for violation of these Terms or for any other reason. You may terminate your account at any time by contacting us. Termination does not relieve you of obligations incurred prior to termination.

15. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Tennessee, without regard to its conflict of law provisions.

16. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes by email or through our platform. Your continued use of the Services after changes constitutes acceptance of the modified Terms.
